1. Delivery of the services
On White Design shall, depending on project requirements, interior design services to the Client by the terms and conditions of this Agreement. Communication (email/phone calls, messages, etc.) regarding the activities below are included as part of defined services payable by the client.
2. Delivery of the services
On White Design shall provide the services within the time frame of 1 to 4 weeks depending on the project. The customer considers any indication given by On White Design of a design project’s duration as an estimation. On White Design cannot be held responsible for any project over-runs, whatever the cause. Estimated project duration should be deemed to be from the date that cleared funds are received by On White Design for the initial payment or by the date confirmed in writing by On White Design.
3. Fees/Payment
The Design fees are based on the project. This provision outlines On White Design fees and does not include costs for materials and products required to complete the project. If the project’s nature requires any contractors’ engagement to perform work, the client shall enter into contracts directly with the concerned contractor.
Payments may be made by online transfer or Paypal with a credit card (Visa, Mastercard) or Debit Card.
Publication and/or release of work done by On White Design on behalf of the client, may not take place before cleared funds have been received.
4. Warranties and limitation of liability
On White Design represents and warrants that it will perform the services with reasonable skill and care. On White Design makes no warranties of any kind, express or implied, for any products and/or services that it supplies.
On White Design is not responsible for any loss, consequential loss of data, or non-delivery of products of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The Client agrees not to hold On White Design responsible for any such loss or damage.
On White Design is not responsible for actions that are under the responsibility of architects and contractors. The Client agrees not to hold On White Design responsible for any action of this type.
5. Terms and Termination
The Agreement shall be effective on the date agreed and shall continue until project completion.
If the Client terminates the Agreement for any reason before the completion date. The Client is required to reimburse On White Design for all outstanding fees and out-of-pocket expenses.
Neither Party will disclose any information of the other which comes into their possession under or in the relation to the Agreement and which is confidential. The failure of either party to enforce its rights under the Agreement at any time for any period shall not be construed as a waiver of such rights.
The Agreement constitutes the entire understanding between the Parties and supersedes all prior representations, negotiations, or understandings.
Neither Party shall be liable for failure to perform any obligation under the Agreement if the failure is caused by any circumstances beyond its reasonable control.
On White Design drawings and specifications are conceptual and intended to set forth design intent only. On White Design does not provide architectural or engineering services. All concepts, drawings, and specifications prepared by On White Design remain at all times On White Design’s property.
On White Design cannot guarantee the actual prices for merchandise and/or interior installations or other costs or services as presented to the Client for the proposed budget.
On White Design require a record of design projects. The Client shall permit On White Design to document the project in progress and when completed, by photography or other means. On White Design shall be entitled to use photographs for On White Design’s business purposes including portfolio, brochure, and similar publicity purposes. The Client’s name may be used in connection with the documentation unless specified to the contrary in writing. If the Client documents the project, On White Design shall be given credit as Interior Designer for the project if documentation is released to the public.
6. General
These Terms and Conditions supersede any previous Terms and Conditions distributed in any form. On White Design reserves the right to change any rates and any of the Terms and Conditions at any time and without prior notice.
7. Acceptance of Terms and Conditions and Quotation
The placement of an order for design and/or any other services offered by On White Design, by email, verbally, or in writing, is deemed to be acceptance of these terms and conditions, which are freely available at www.onwhitedesign.com.
An estimate validated by the customer’s signature on the estimate or quotation form, or by email, constitutes acceptance of the estimate or quotation and agreement to comply fully with all the Terms and Conditions and forms a Contract for Business between the signatory and On White Design.
